New Delhi: REC Limited, a leading public sector undertaking in the power sector, has incorporated two wholly owned subsidiaries, Ambernath Power Transmission Limited and Balsane Power Transmission Limited, as part of its efforts to develop intra-state transmission infrastructure in Maharashtra. The move underscores REC’s commitment to facilitating the growth of electricity transmission projects through transparent and competitive mechanisms.
Ambernath Power Transmission Limited Established
Ambernath Power Transmission Limited was incorporated on December 19, 2025, with an authorized and paid-up capital of Rs 5 lakh. The company has been set up following an order dated October 3, 2025, issued by the Government of Maharashtra, under which REC Power Development and Consultancy Limited (RECPDCL) was appointed as the Bid Process Coordinator (BPC) for the 400/220 kV GIS Ambernath transmission project in Thane district.
The special purpose vehicle (SPV) will manage the project until the selection of a successful bidder through a tariff-based competitive bidding (TBCB) process, after which all assets and liabilities of the SPV will be transferred to the winning bidder.
Balsane Power Transmission Limited Incorporated
Similarly, Balsane Power Transmission Limited was incorporated on December 18, 2025, also with an authorized and paid-up capital of Rs 5 lakh. The company has been formed to implement the 765/400/220 kV AIS Balsane transmission project in Dhule district, under the same Government of Maharashtra order that appointed RECPDCL as BPC.
Like Ambernath Power Transmission Limited, Balsane Power Transmission Limited will operate as an SPV until the successful bidder is selected through the TBCB process, after which the project will be transferred to the selected entity.
Strategic Purpose and Ownership Structure
Both Ambernath and Balsane Power Transmission Limited are wholly owned subsidiaries of RECPDCL, which itself is a wholly owned subsidiary of REC Limited. This makes the two newly formed companies indirect subsidiaries of REC Limited. While these entities are related parties due to their ownership structure, the promoter, promoter group, and group companies of REC Limited have no interest in these SPVs beyond their shareholding.
The incorporation of these SPVs is aligned with REC’s broader mandate to support state and central governments in developing robust transmission infrastructure through transparent and competitive bidding mechanisms.
