Insolation Energy Appoints Former IAS Officer Shreemat Pandey as Additional Independent Director

New Delhi: Insolation Energy Limited has appointed Shreemat Pandey, a retired Indian Administrative Service (IAS) officer, as its Additional Non-Executive Independent Director, effective February 5, 2026. The appointment is for a term of five years, extending until February 4, 2031, subject to approval by the company’s shareholders.

Strengthening the Board with Administrative and Power Sector Expertise

With over 35 years of distinguished public service, Shreemat Pandey brings deep experience in governance, regulatory oversight, and the power sector. His appointment is expected to significantly strengthen Insolation Energy’s corporate governance framework, particularly in areas of regulatory compliance, risk management, and strategic oversight.

The company noted that his induction aligns with its commitment to robust board leadership and transparent governance practices, especially as it continues to expand operations in the renewable energy space.

Extensive Experience in the Power Sector

Shreemat Pandey has held several senior administrative and regulatory positions during his IAS career. Most notably, he served as Chairman of the Rajasthan Electricity Regulatory Commission (RERC), where he played a key role in overseeing electricity tariff regulation, power sector reforms, and policy implementation.

His extensive exposure to energy regulation and public utility governance is expected to provide valuable strategic guidance to Insolation Energy as it navigates regulatory environments and long-term sustainability goals.

Focus on Governance, Compliance, and Risk Management

According to the company, Pandey’s expertise in administrative leadership, governance standards, and institutional decision-making will contribute to strengthening internal controls and board-level oversight. As an Independent Director, he will provide unbiased perspectives on governance matters, risk mitigation strategies, and compliance with statutory and regulatory requirements.

The appointment reflects Insolation Energy’s emphasis on reinforcing board independence and enhancing stakeholder confidence.

Subject to Shareholder Approval

The appointment of Shreemat Pandey as Additional Non-Executive Independent Director will remain subject to the approval of shareholders at the ensuing general meeting, in accordance with applicable provisions of the Companies Act and SEBI regulations.
