Engineers India Limited Signs Tripartite RTA Agreement with KFin Technologies and Alankit Assignments

New Delhi: State-owned engineering consultancy firm Engineers India Limited (EIL) has informed stock exchanges about the execution of a tripartite agreement involving KFin Technologies Limited and Alankit Assignments Limited regarding its Registrar and Transfer Agent (RTA) services.

The disclosure was made under Regulation 7 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, ensuring compliance with regulatory requirements for listed entities.

Agreement Formalizes Transition of RTA Services

According to the filing dated April 20, 2026, the agreement has been signed between:

  • Engineers India Limited (Company)
  • KFin Technologies Limited (erstwhile RTA)
  • Alankit Assignments Limited (current RTA)

The agreement formally recognizes Alankit Assignments Limited as the company’s Registrar and Transfer Agent, a role it has been performing since January 24, 2020.

Compliance with SEBI LODR Regulations

The company emphasized that the disclosure aligns with SEBI’s LODR Regulation 7, which mandates listed companies to:

  • Maintain proper share transfer and registry arrangements
  • Inform stock exchanges about any changes in RTA services
  • Ensure transparency in shareholder-related processes

By formalizing this agreement, EIL reinforces its adherence to regulatory norms and corporate governance standards.

Role and Importance of Registrar and Transfer Agents

Registrar and Transfer Agents (RTAs) are crucial intermediaries in the capital market ecosystem.

Key Responsibilities Include:

  • Maintaining shareholder records
  • Processing share transfers and dematerialization
  • Handling dividend payments and corporate actions
  • Ensuring smooth communication between companies and investors

The formal agreement ensures that these functions are handled efficiently and in compliance with regulatory guidelines.

Enhancing Transparency and Investor Confidence

The move is expected to:

While KFin Technologies Limited served as the earlier RTA, Alankit Assignments Limited has been managing EIL’s shareholder services since 2020. The tripartite agreement now formally consolidates this transition, ensuring a structured and documented framework for RTA operations.
