New Delhi: GAIL (India) Limited is moving ahead with the transfer of six city gas distribution (CGD) geographical areas to its wholly owned subsidiary, GAIL Gas Limited, as part of a strategic restructuring of its city gas distribution business.
The six geographical areas are Varanasi, Patna, Ranchi, East Singhbhum (Jamshedpur), Cuttack and Khordha (Bhubaneswar). The Petroleum and Natural Gas Regulatory Board (PNGRB) has approved the transfer, clearing a key regulatory step in the proposed restructuring.
The consolidation is expected to strengthen GAIL Gas’s business operations and support its plans for a potential initial public offering (IPO).
GAIL Gas IPO Plans: Rs 3,000 Crore Fundraising Target
GAIL Gas is reportedly planning to raise approximately Rs 3,000 crore through an IPO. The subsidiary could be listed on the stock market by the end of the current financial year.
As part of the proposed IPO, GAIL (India) is expected to dilute a minority stake in GAIL Gas while retaining a shareholding interest in the subsidiary.
The potential listing would provide investors with an opportunity to gain exposure to GAIL Gas’s city gas distribution business through a separately listed entity. However, the final IPO structure, fundraising details and listing timeline will depend on the company’s plans and the necessary corporate and regulatory approvals.
Six City Gas Distribution Areas to Move Under GAIL Gas
The transfer covers six CGD geographical areas currently operated by GAIL (India). Following the transfer, these operations will be consolidated under GAIL Gas.
The six geographical areas are:
- Varanasi – Uttar Pradesh
- Patna – Bihar
- Ranchi – Jharkhand
- East Singhbhum (Jamshedpur) – Jharkhand
- Cuttack – Odisha
- Khordha (Bhubaneswar) – Odisha
The transfer is expected to expand GAIL Gas’s operational footprint and consolidate additional city gas distribution activities under the subsidiary.
GAIL Gas Expands City Gas Distribution Network
GAIL Gas operates city gas distribution projects across multiple states and is expanding its network to meet the growing demand for cleaner fuels.
Its business includes supplying piped natural gas (PNG) to domestic households, commercial establishments and industrial consumers, along with compressed natural gas (CNG) for vehicles.
According to GAIL’s FY 2025-26 annual report, GAIL Gas operates CGD projects in 16 geographical areas. In addition, six joint venture companies are implementing projects in nine other geographical areas.
The proposed transfer of six additional geographical areas is expected to further consolidate the subsidiary’s presence in the city gas distribution sector.
Strategic Restructuring to Support GAIL Gas Growth
The transfer of the six CGD areas is part of GAIL’s broader strategy to consolidate its city gas distribution operations within its subsidiary.
A larger and more consolidated business could help GAIL Gas strengthen its business profile, attract investment and access capital for network expansion and future growth opportunities.
For GAIL (India), the proposed IPO could provide an opportunity to unlock value from its city gas distribution business while retaining a stake in the subsidiary.
The restructuring and potential listing are also expected to give GAIL Gas a separate corporate identity in the capital markets, subject to the final transaction structure and applicable approvals.
