New Delhi: MMTC Limited successfully conducted its 63rd Annual General Meeting (AGM) at its Corporate Office in the SCOPE Complex, New Delhi. The meeting was held in hybrid mode, allowing shareholders to participate both physically and through video conferencing.
The AGM was chaired by Nitin Kumar Yadav, IAS, Chairman and Managing Director (CMD), MMTC. The meeting covered key financial, audit and governance matters for the company.
Shareholders Approve Financial Statements for FY 2025-26
During the AGM, shareholders approved the adoption of MMTC’s audited standalone and consolidated financial statements for the financial year ended March 31, 2026.
The agenda also covered the Directors’ Report, Statutory Auditors’ Report, observations of the Comptroller and Auditor General (C&AG) of India, and the Secretarial Auditor’s Report for FY 2025-26.
All scheduled agenda items were taken up during the meeting.
Key Board and Director Appointments Approved
The AGM also considered and approved several matters related to the company’s Board.
Members ratified the appointments of:
- Jatinderjit Singh Mann as Director (Marketing)
- Kundan Kumar Mishra as Director (Finance)
The members also approved the appointment of Nigar Fatima Husain and A.K. Kashyap as Non-Executive Government Nominee Directors on the MMTC Board.
No director was liable to retire by rotation under Section 152(6) of the Companies Act, 2013. Therefore, no resolution relating to the re-appointment of a director under ordinary business was required.
Board Authorised to Fix Auditor Remuneration
Another key resolution authorised the Board of Directors to appoint and determine the remuneration of statutory and branch auditors for FY 2026-27.
The appointments are to be made in accordance with the provisions of the Companies Act, 2013, with the statutory auditors appointed by the Comptroller and Auditor General of India under Section 139(5) of the Act.
Remote E-Voting Facility Available to Shareholders
MMTC provided shareholders with a remote e-voting facility ahead of the AGM.
The remote voting window was open from 9:00 AM on September 14, 2026, to 5:00 PM on September 16, 2026. Shareholders who had not voted remotely were also given an opportunity to cast their votes electronically during the AGM.
The voting results will be published on the MMTC website, CDSL and the relevant stock exchanges within the stipulated statutory timeframe.
MMTC Highlights Transparent Stakeholder Engagement
During the AGM, the CMD addressed queries raised by members who had registered as speakers, allowing shareholders to interact with the company management. The hybrid format enabled wider participation and facilitated interaction between shareholders and the company.
The successful conduct of the AGM reflects MMTC’s focus on corporate governance, regulatory compliance, transparency and stakeholder engagement.
