New Delhi: Mangalore Refinery and Petrochemicals Limited (MRPL) has announced a key restructuring of its Board following approvals from the Ministry of Petroleum and Natural Gas. The company informed stock exchanges that the Government of India has appointed two senior officials as government nominee directors for a three-year term, strengthening administrative representation on the Board.
The decision was conveyed through a communication dated June 4, 2026, from the competent authority under the Ministry of Petroleum and Natural Gas.
MoPNG Approves Key Board-Level Appointments
Ministry of Petroleum and Natural Gas has approved the appointment of two officials to the MRPL Board:
- Extension of tenure of Mr. D K Ojha as Government Nominee Director
- Appointment of Dr. Seema as a new Government Nominee Director
Both appointments are effective immediately and will remain valid for a period of three years, or until further orders, whichever is earlier, on a co-terminus basis.
Extension of Mr. D K Ojha’s Tenure
Mr. D K Ojha, Deputy Director General (E&S) in MoPNG and a 1999-batch officer of the Indian Statistical Service, has had his tenure extended as Government Nominee Director on the MRPL Board.
- New tenure period: May 16, 2026 – May 15, 2029
- Basis: MoPNG approval under government nominee category
- Service continuity: Extension until further orders, if applicable
Mr. Ojha has previously served across multiple ministries, including Commerce and Industry, Statistics & Programme Implementation, Health & Family Welfare, and Petroleum & Natural Gas. He has been associated with MoPNG since December 2021.
Appointment of Dr. Seema as New Govt Nominee Director
Dr. Seema, currently serving as Economic Advisor (Development) in MoPNG, has been appointed as a Government Nominee Director on the MRPL Board.
- Appointment effective from: June 4, 2026
- Tenure: 3 years or until further orders
- Previous experience: Advisor in the Ministry of Agriculture and Farmers Welfare
Her appointment is part of the government’s structured representation on the MRPL Board to ensure policy alignment and oversight.
Regulatory Compliance and Disclosures
MRPL confirmed in its regulatory filing under SEBI Listing Regulations that:
- Both directors are not debarred from holding office by SEBI or any other authority
- They are eligible under Section 164 of the Companies Act, 2013
- The appointments comply fully with applicable regulatory requirements
- There is no relation between the new appointees and existing Board members
The company emphasized that the appointments are in line with governance norms and statutory compliance frameworks.
