Coal India 52nd AGM: Shareholders Approve ₹5.25 Final Dividend, Total Payout Reaches ₹26.50

New Delhi: Coal India Limited (CIL) conducted its 52nd Annual General Meeting (AGM) on August 31, 2026, through video conferencing, with shareholders approving the final dividend and several key board and corporate resolutions.

The shareholders approved a final dividend of ₹5.25 per share for FY2025-26, taking the company’s total dividend for the financial year to ₹26.50 per share, including the three interim dividends already paid during the year.

Chairman B. Sairam addressed shareholders and highlighted Coal India’s operational and financial performance, key milestones achieved during FY2025-26 and the company’s role in strengthening India’s energy security.

Shareholders Approve ₹5.25 Final Dividend

The AGM approved the company’s dividend proposals for FY2025-26.

Key dividend-related resolutions included:

  • Confirmation of three interim dividends already paid during FY2025-26.
  • Declaration of ₹5.25 per share final dividend.
  • Total FY2025-26 dividend: ₹26.50 per share.

The dividend approval comes as Coal India continues to maintain its focus on financial discipline while investing in production, evacuation infrastructure and diversification.

B. Sairam Appointed Chairman-cum-Managing Director

Shareholders approved several important appointments and reappointments to the Coal India Board.

The key appointments include:

  • B. Sairam appointed as Chairman-cum-Managing Director.
  • Asheesh Kumar appointed as Whole-time Director (Business Development).
  • Ashim Kumar Modi appointed as Part-time Official Director.
  • Smt. Sona Kumari appointed as Independent Director.
  • Mukesh Choudhary, Director (Marketing), re-appointed upon retirement by rotation.

The appointments are expected to support Coal India’s strategic priorities across coal production, business development and diversification.

Key Financial and Operational Performance Highlights

In his address, Chairman B. Sairam highlighted Coal India’s physical and financial performance during FY2025-26.

While the company’s top-line revenue remained stable, profitability was impacted by lower average realisations and higher depreciation.

Key financial indicators highlighted at the AGM included:

  • EBITDA margin: 32%, compared with 34% in the previous year.
  • Net profit margin: 18%, compared with 21% earlier.
  • Return on average equity: 30%.
  • Net worth: ₹1,19,102 crore, an increase of 17%.

Despite the decline in profitability margins, the company maintained a strong balance sheet and robust return on equity.

Coal India Focuses on Production and Evacuation Capacity

Responding to questions from shareholders, Chairman B. Sairam reaffirmed Coal India’s commitment to supporting India’s growth and energy security.

The company’s strategic focus includes:

  • Strengthening coal production.
  • Expanding coal evacuation capacity.
  • Maintaining financial discipline.
  • Expanding into renewable energy.
  • Developing coal gasification projects.
  • Diversifying its business portfolio.

The company aims to strengthen its operational capabilities while gradually expanding into emerging energy and technology areas.

BCCL and CMPDI Successfully Listed

Coal India highlighted the successful listing of Bharat Coking Coal Limited (BCCL) and Central Mine Planning and Design Institute Limited (CMPDI) as two major milestones during FY2025-26.

The listings form part of Coal India’s broader diversification and value-creation strategy involving its subsidiaries.

The company is also expanding its focus beyond conventional coal operations through investments in renewable energy and coal gasification.

India’s First Commercial Coal Gasification Project

Another major milestone highlighted at the AGM was the foundation stone laying for India’s first commercial coal gasification project.

The project is being developed through a ₹25,000 crore joint venture between Coal India and Bharat Heavy Electricals Limited (BHEL).

Coal gasification is expected to support the production of value-added products from coal and contribute to the country’s efforts towards greater utilisation of domestic resources and energy diversification.

GST Revision Improves Working Capital Efficiency

Coal India also highlighted the impact of the revised GST structure on coal.

The GST revision eliminated the inverted duty structure, enabling the company to utilise around ₹5,985 crore in input tax credit.

The development is expected to improve working capital efficiency and strengthen the company’s financial management.

Other Resolutions Approved at AGM

Besides dividend and board appointments, shareholders approved other important resolutions.

These included:

  • Adoption of the Standalone and Consolidated Audited Financial Statements for FY2025-26.
  • Authorisation to fix the remuneration of Statutory Auditors for FY2026-27.
  • Ratification of Cost Auditors’ remuneration for FY2026-27.

Remote e-voting was available from August 28 to August 30, 2026. The consolidated voting results will be declared within two working days and submitted to the stock exchanges.

The AGM was attended virtually by Coal India’s senior management and government representatives.

  • Mukesh Agrawal, Director (Finance)
  • Achyut Ghatak, Director (Technical)
  • Asheesh Kumar, Director (Business Development)
  • Independent Directors
  • Smt. Rupinder Brar, Additional Secretary, Ministry of Coal
  • Ashim Kumar Modi, Joint Secretary & Financial Adviser, Ministry of Coal

Shareholders also interacted with the Board and raised questions on the company’s operations and future strategy.

Coal India’s Focus on Future Growth

The 52nd AGM reflected Coal India’s focus on maintaining its position as a key contributor to India’s energy security while preparing for a broader role in the evolving energy landscape.

With investments in coal production, evacuation infrastructure, renewable energy and coal gasification, the company is pursuing a diversification strategy alongside its core coal business.
