New Delhi: National Aluminium Company Limited (NALCO) successfully conducted its 45th Annual General Meeting (AGM) through video conferencing, with shareholders approving all ordinary and special resolutions with the requisite majority.
The meeting was chaired by Brijendra Pratap Singh, Chairman-cum-Managing Director, NALCO, who highlighted the company’s robust physical and financial performance during FY2025-26 and outlined its strategic vision for future growth.
The CMD reaffirmed NALCO’s commitment to building a competitive, resilient and technology-driven enterprise focused on creating long-term value for its stakeholders.
NALCO 45th AGM Reviews FY2025-26 Performance
During the AGM, the company highlighted its strong operational and financial performance for FY2025-26.
The meeting was attended by:
- Functional Directors of NALCO
- Independent Director
- Chief Vigilance Officer (CVO)
- Senior officials from the Ministry
- Company Secretary
The AGM provided a platform for shareholders and the management to review the company’s performance and consider key corporate and governance matters.
Shareholders Approve Dividend Proposals
Shareholders approved the dividend-related resolutions at the AGM.
The approvals included:
- Confirmation of three interim dividends already paid.
- Declaration of the final dividend for FY2025-26.
The dividend approvals reflect NALCO’s continued focus on shareholder returns alongside its growth and expansion plans.
Key Board Appointments Approved
The shareholders also approved several appointments and reappointments to the NALCO Board.
The key decisions included:
- Anil Kumar Singh appointed as Director (Commercial).
- Dr. Veena Kumari Dermal appointed as Part-time Official Director.
- Neeraj appointed as Part-time Non-official (Independent) Director.
- Jagdish Arora, Director (Projects & Technical), re-appointed upon retirement by rotation.
These appointments are part of the company’s ongoing board-level governance and leadership framework.
Other Important Resolutions Passed
In addition to dividend and board-related matters, shareholders approved other key resolutions.
These included:
- Adoption of the audited standalone and consolidated financial statements for FY2025-26.
- Ratification of Cost Auditors’ remuneration for FY2026-27.
- Passage of all ordinary and special resolutions with the requisite majority.
Remote E-Voting Conducted Ahead of AGM
NALCO conducted the remote e-voting process from August 28 to August 30, 2026.
An additional e-voting facility was also provided to shareholders during the AGM.
The company stated that the consolidated voting results will be submitted to the stock exchanges shortly.
