New Delhi: Bharat Electronics Limited (BEL) shareholders approved a final dividend of ₹0.55 per equity share for FY2025-26 and cleared key board appointments at the company’s 72nd Annual General Meeting (AGM) held on August 28, 2026.
The meeting, conducted through Video Conferencing (VC)/Other Audio Visual Means (OAVM), also saw shareholders approve the audited financial statements for FY2025-26. All eight resolutions placed before shareholders were passed with the requisite majority, as confirmed by the scrutinizer’s report.
BEL FY26 Total Dividend Reaches ₹2.50 Per Share
With the approval of the final dividend, BEL’s total dividend payout for FY2025-26 stands at ₹2.50 per equity share.
This includes:
- Final dividend: ₹0.55 per share
- Interim dividend: ₹1.95 per share
- Total FY26 dividend: ₹2.50 per share
The final dividend was among the key ordinary resolutions approved by shareholders at the AGM.
BEL Shareholders Approve Eight Key Resolutions
The AGM was chaired by Manoj Jain, Chairman & Managing Director, BEL. Shareholders approved all eight resolutions placed before them.

- Adoption of the audited financial statements for FY2025-26.
- Declaration of ₹0.55 final dividend per equity share.
- Re-appointment of Rajnish Sharma as Director.
- Ratification of Cost Auditor remuneration.
- Increase in the company’s Authorised Share Capital.
- Alteration of the Capital Clause in the Memorandum of Association.
- Appointment of Ambrish Tripathi as Director.
- Appointment of Anoop Kumar Rai as Director.
The alteration of the Capital Clause was approved as a special resolution, while the remaining resolutions were passed as ordinary resolutions.
Promoter Group Records 100% Voting Participation
A total of 2,671,416 shareholders were on the record date of August 21, 2026.
Voting participation was particularly high among the promoter group and public institutional investors.

- Promoter Group: 3,737,921,934 shares — 100% participation
- Public Institutions: 2,841,899,569 shares — ~91.05% participation
- Public Non-Institutions: 729,957,326 shares — ~0.19% participation
The promoter group, which holds 3,737,921,934 shares, voted 100% of its holding through remote e-voting. Public institutional investors recorded approximately 91% participation, while participation among public non-institutional shareholders remained below 0.2%.
Board Members and Auditors Attend AGM
The AGM was attended by the majority of BEL’s Board members. Ms Meera Mohanty and Dr Binoy Kumar Das, Government Nominee Directors, could not attend due to prior commitments.
The Board also included Independent Directors Pradeep Tripathi, Bharatsinh P Parmar and Partha Pratim Pathak.
The company’s statutory auditors, M/s Rao & Emmar, and secretarial auditor, M/s Thirupal Gorige & Associates LLP, presented their respective reports during the proceedings.
Secretarial Audit Non-Compliances Discussed
During the AGM, the Chairman noted that the non-compliances highlighted in the Secretarial Audit Report were related to delays in appointing the required number of Independent Directors.
According to the company, the appointment process was subject to government approvals, which were beyond BEL’s control.
The Auditor’s Report contained no qualifications or adverse comments concerning the financial transactions for the financial year ended March 31, 2026.
