HPCL Approves ₹19.25 Final Dividend at 74th AGM, Clears Key Board Appointments and Other Resolutions

Mumbai: Hindustan Petroleum Corporation Limited (HPCL) held its 74th Annual General Meeting (AGM) on August 26, 2026, through Video Conferencing (VC)/Other Audio-Visual Means (OAVM). The meeting was chaired by Vikas Kaushal, Chairman and Managing Director, HPCL, and concluded at 1:40 PM.

Shareholders considered and approved key resolutions, including the ₹19.25 per equity share final dividend for FY2025-26, financial statements, appointments and reappointments of directors, cost auditor remuneration and other business matters.

HPCL AGM Approves ₹19.25 Final Dividend

One of the key decisions at the 74th AGM was the approval of a final dividend of ₹19.25 per equity share for FY2025-26, along with confirmation of the interim dividend.

HPCL had fixed August 14, 2026, as the record date for determining shareholders eligible for the dividend.

The dividend is to be paid electronically within the prescribed period following its declaration, subject to applicable tax deduction at source (TDS) and regulatory requirements.

Financial Statements Placed Before Shareholders

The company placed its audited standalone and consolidated financial statements for FY2025-26 before shareholders at the AGM.

The Chairman’s address covered HPCL’s overall financial and physical performance, along with the company’s outlook and strategic priorities.

  • Overseas operations
  • Research and development
  • Sustainability initiatives
  • Corporate Social Responsibility (CSR)

HPCL Board Appointments and Other Resolutions

Shareholders also considered several matters related to the company’s Board and other statutory requirements.

The key resolutions included:

  • K.S. Shetty: Reappointment as Director, subject to retirement by rotation.
  • Vikram Saxena: Appointment as Director.
  • Alok Tripathi: Appointment as Director.
  • Srividya Venkataraman: Appointment as Director – Finance.
  • Cost Auditors: Approval of remuneration for FY2026-27.
  • HPCL-Mittal Energy: Material related-party transactions placed before shareholders for approval.

24 Shareholders Raise Questions at AGM

A total of 24 registered speakers participated in the AGM and raised questions on various matters. The queries were addressed by Chairman and Managing Director Vikas Kaushal.

The interaction provided shareholders an opportunity to seek clarification on HPCL’s business performance, operations, projects and future plans.

E-Voting Facility Provided to Shareholders

Members who had not exercised their voting rights earlier were given an opportunity to vote during the AGM. The e-voting facility remained open for 15 minutes after the conclusion of the meeting.

The combined voting results, along with the Scrutinizer’s Report, will be submitted to BSE and NSE within the prescribed timeline and will also be hosted on HPCL’s website.

Remote E-Voting and KYC Requirements

Before the AGM, HPCL had provided shareholders with a remote e-voting facility through National Securities Depository Limited (NSDL).

The eligibility cut-off date for remote e-voting was August 19, 2026. Members whose names appeared in the Register of Members or the list of Beneficial Owners as of that date were eligible to vote.

HPCL had also advised shareholders to keep their KYC details updated with their Depository Participants (DPs) or Registrar and Share Transfer Agent (RTA) to facilitate smooth processing of dividends.
