NSE Q1 Profit Rises 7% to ₹3,120 Crore; IPO Plans Gain Momentum After SEBI Settlement

IPO-bound NSE reported a 7% rise in Q1 FY27 profit to ₹3,120 crore and a 9% increase in income, while its board approved payment of ₹714.74 crore to settle long-pending SEBI co-location and dark fibre cases.

New Delhi: The National Stock Exchange of India (NSE) posted a strong financial performance for the first quarter of FY27, reporting a 7% year-on-year increase in consolidated profit after tax (PAT) to ₹3,120 crore, driven primarily by higher transaction charge income. The results come as the country’s largest stock exchange moves closer to its much-awaited initial public offering (IPO).

The exchange also announced that its Board has approved the payment of ₹714.74 crore to settle long-pending regulatory cases with the Securities and Exchange Board of India (SEBI), removing another key hurdle ahead of its proposed ₹30,000-crore IPO.

Income Rises 9% in April-June Quarter

According to the exchange, total consolidated income rose 9% year-on-year to ₹5,252 crore during the April-June quarter of FY27, compared to ₹4,798 crore in the corresponding quarter last year.

Net profit increased from ₹2,924 crore in Q1 FY26 to ₹3,120 crore this year.

The improvement was largely supported by robust trading activity, which boosted revenue from transaction charges—the exchange’s biggest source of income.

Transaction Charges Remain Biggest Revenue Driver

Revenue from transaction charges increased to ₹3,623 crore, up from ₹3,154 crore in the year-ago period.

Other revenue streams during the quarter included:

  • Data connectivity charges: ₹258 crore
  • Operating investment income: ₹234 crore
  • Data feed and terminal services: ₹150 crore

On the expenditure side, total expenses rose to ₹1,129 crore, compared to ₹1,053 crore in the same quarter last year.

NSE Contributes Over ₹20,500 Crore to Government

The exchange said it contributed ₹20,579 crore to the government exchequer during the quarter through taxes, duties and statutory payments.

The contribution included:

  • Securities Transaction Tax (STT) / Commodities Transaction Tax (CTT): ₹18,313 crore
  • Stamp Duty: ₹980 crore
  • GST: ₹657 crore
  • Income Tax: ₹373 crore
  • SEBI Fees: ₹256 crore

Among STT collections, the equity derivatives segment accounted for 57%, followed by cash market delivery-based trades (37%) and cash market intraday trades (6%).

SEBI Settlement Clears Major Regulatory Hurdle

In a significant development ahead of its IPO, NSE said SEBI has, in principle, agreed to settle the long-pending co-location and dark fibre cases.

The total settlement amount has been fixed at ₹1,491.21 crore.

After adjusting ₹776.47 crore already deposited by the exchange, SEBI has directed NSE to pay the remaining ₹714.74 crore.

The exchange said its Board of Directors approved the payment during its meeting held on July 30, 2026.

NSE had initially filed settlement applications with SEBI on June 20, 2025, proposing a cumulative settlement amount of ₹1,387.39 crore. The proposal was subsequently revised on March 13, 2026, increasing the settlement amount to ₹1,491.21 crore.

IPO Plans Progressing

The regulatory settlement comes as NSE advances preparations for its public listing.

In June 2026, the exchange filed its draft IPO papers with SEBI.

The proposed public issue will be entirely an Offer for Sale (OFS), with existing shareholders selling 14.89 crore equity shares, representing nearly 6% of NSE’s equity.

As there is no fresh issue component, the proceeds will go to the selling shareholders.

With an estimated issue size of around ₹30,000 crore, the IPO is expected to rank among the largest public offerings in India’s capital markets.

The latest quarterly performance, coupled with progress on the regulatory front, is expected to strengthen investor confidence as the exchange moves closer to its long-awaited market debut.
