New Delhi: BEML Limited successfully conducted its 62nd Annual General Meeting (AGM) virtually on September 29, 2026, bringing together shareholders to discuss the company’s financial performance, key achievements, strategic priorities and future outlook.
Addressing shareholders, Shantanu Roy, Chairman & Managing Director (CMD), BEML, highlighted FY 2025-26 as a year marked by disciplined execution, operational resilience and strategic momentum across the company’s diversified business segments.
The company also reported its highest-ever revenue, order book, capital expenditure and R&D investments, reflecting its focus on business growth, innovation and capability enhancement.
BEML Records Strong Performance Across Key Business Segments
During FY 2025-26, BEML witnessed sustained growth across its major business verticals, including:
- Defence
- Rail & Metro
- Mining & Construction
- Infrastructure
The company also continued to invest in manufacturing capabilities, research and development, and strategic national programmes.
The CMD was joined by BEML’s Functional and Non-Executive Directors during the virtual AGM.

BEML Shareholders Approve ₹12.28 Final Dividend
One of the key decisions at the AGM was the approval of a final dividend of ₹12.28 per equity share for the financial year ended March 31, 2026.
The final dividend follows two interim dividends that were already paid during FY26:
- ₹2.50 per share declared in February 2026
- ₹2.30 per share declared in May 2026
- ₹12.28 per share final dividend approved at the AGM
This takes the total dividend payout for FY26 to ₹17.08 per equity share.
The dividend relates to BEML equity shares having a face value of ₹5 each.
AGM Approves Key Board and Governance Changes
The AGM also covered several important corporate governance matters.
Shareholders approved the re-appointment of Shantanu Roy as Chairman & Managing Director and Rajeev Kumar Gupta as Director (Rail & Metro Business), as both directors retired by rotation.
The shareholders also approved the appointment of new directors aimed at strengthening the Board’s composition, including representation across defence and independent oversight roles.
Auditor Appointments and Remuneration Approved
Several audit-related resolutions were also approved during the AGM.
These included:
- Ratification of remuneration payable to Cost Auditors for FY27
- Appointment of M/s. M. P. Sanghavi & Associates LLP as Secretarial Auditors
- Fixation of remuneration for Statutory Auditors for the upcoming financial year
The Company Secretary also confirmed that the statutory and secretarial audits had reported no material adverse impact on the company’s functioning.
BEML Outlines Priorities for FY 2026-27
During the AGM, the CMD also presented BEML’s outlook for FY 2026-27.
The company’s priorities include:
- Expanding business growth across key sectors
- Strengthening corporate governance
- Advancing CSR initiatives
- Focusing on sustainability
- Continuing investments in manufacturing capabilities
- Supporting research, development and innovation
The CMD also responded to queries raised by shareholders during the meeting.
BEML’s FY26 Dividend Payout Reaches ₹17.08 Per Share
With the final dividend approval, BEML’s total annual dividend for FY26 stands at ₹17.08 per equity share.
The combined payout consists of the two interim dividends and the final dividend approved at the 62nd AGM. The distribution comes as BEML continues its operations across Defence & Aerospace, Mining & Construction, and Rail & Metro sectors.
