New Delhi: Bharat Heavy Electricals Limited (BHEL) has signed a Joint Venture Agreement with Titagarh Rail Systems Limited (TRSL) to establish a 50:50 joint venture company for the comprehensive maintenance of Vande Bharat Sleeper Trainsets over their entire 35-year service life.
According to BHEL’s exchange filing, the proposed joint venture will combine the technical capabilities of both companies to ensure the operational readiness, safety and reliability of the trainsets throughout their service period.
BHEL and Titagarh to Form 50:50 Joint Venture
Under the agreement, BHEL and Titagarh Rail Systems will hold an equal 50% stake each in the proposed joint venture.
The key terms of the agreement include:
- BHEL shareholding: 50%
- Titagarh Rail Systems shareholding: 50%
- Initial paid-up share capital: ₹50 lakh
- Registered office: Delhi
- Board composition: Two directors each from BHEL and TRSL
- Nature: Domestic joint venture

Once incorporated and operational, the JV will be responsible for comprehensive maintenance activities for the Vande Bharat Sleeper Trainsets supplied by the two companies.
JV to Maintain Vande Bharat Sleeper Trains for 35 Years
The proposed joint venture will undertake maintenance of the Vande Bharat Sleeper Trainsets for a period of 35 years.
The long-term maintenance arrangement is designed to ensure that the trains remain operationally efficient, safe and reliable throughout their service life.
The JV will leverage the combined technical strengths of BHEL and Titagarh Rail Systems to support:

The BHEL-Titagarh partnership creates a dedicated framework for long-term asset maintenance rather than relying only on short-term maintenance arrangements.
The proposed JV will therefore focus on maintaining the performance and operational reliability of the trainsets throughout their 35-year lifecycle.
BHEL and Titagarh to Combine Technical Expertise
The joint venture will bring together BHEL’s engineering and manufacturing capabilities with Titagarh Rail Systems’ experience in railway systems and rolling stock.
By combining their respective technical strengths, the companies aim to establish a structured maintenance ecosystem for the Vande Bharat Sleeper fleet.
The partnership also reflects the increasing importance of lifecycle management and long-term asset performance in India’s railway sector.
JV Company Yet to Be Incorporated
BHEL has clarified that the proposed joint venture company has not yet been incorporated.
It will be established as a private limited company with an initial paid-up share capital of ₹50 lakh.
The company will have its registered office in Delhi, with the Board comprising two directors each nominated by BHEL and Titagarh Rail Systems.
The joint venture will be a domestic arrangement and is not classified as a related-party transaction.

The proposed BHEL-Titagarh JV marks another step towards greater collaboration between public-sector engineering capabilities and private-sector rail manufacturing expertise.
