New Delhi: NBCC (India) Limited successfully convened its 66th Annual General Meeting (AGM) on September 11, 2026, through video conferencing. Shareholders approved the company’s audited financial statements for FY2025-26, a final dividend of ₹0.46 per equity share and several other key resolutions during the meeting.
The AGM was chaired by K.P.M. Swamy, Chairman & Managing Director (CMD), NBCC. The meeting provided shareholders an opportunity to consider and approve various matters relating to the company’s financial performance, dividend and corporate governance.
NBCC 66th AGM Held Through Video Conferencing
The 66th AGM of NBCC was conducted through video conferencing, allowing shareholders to participate remotely.
The following directors and senior officials were present during the AGM:

- Anjeev Kumar Jain – Director (Finance) & Chief Financial Officer (CFO)

Shareholders Approve ₹0.46 Final Dividend
One of the key decisions taken at the AGM was the declaration of a final dividend of ₹0.46 per equity share, equivalent to 46%, for the financial year 2025-26.
Shareholders also took note of the three interim dividends paid by the company during FY2025-26.
The final dividend adds to the interim dividend distributions made during the financial year.
Major Resolutions Approved at NBCC AGM
Apart from the dividend declaration, shareholders approved several important resolutions at the 66th AGM.
The major resolutions included:
- Adoption of the audited standalone financial statements for FY2025-26.
- Adoption of the audited consolidated financial statements for FY2025-26.
- Re-appointment of Anjeev Kumar Jain, Director (Finance), who was retiring by rotation.
- Re-appointment of Ravi Kumar Arora, Director, who was retiring by rotation.
- Authorisation to the Board to fix the remuneration of Statutory Auditors for FY2026-27.
- Ratification of the remuneration of the Cost Auditor for FY2026-27.
These resolutions cover key financial, audit and board-related matters of the company.
NBCC E-Voting Process
NBCC had provided a remote e-voting facility to shareholders ahead of the AGM.
The remote e-voting period was open from September 8 to September 10, 2026. Members who had not cast their votes during the remote e-voting period were also provided an opportunity to vote during the AGM.
The voting process enabled shareholders to participate in the approval of the resolutions considered at the meeting.
AGM Concludes at 1:15 PM
The 66th Annual General Meeting concluded at 1:15 p.m. on September 11, 2026.
NBCC stated that the e-voting results along with the Scrutinizer’s Report will be submitted to the stock exchanges shortly.
The results will provide the voting outcome on the resolutions considered and approved at the AGM.
