New Delhi: Hindustan Aeronautics Limited (HAL) has signed an agreement to acquire the remaining 50% stake in HATSOFF Helicopter Training Private Limited held by Canadian company CAE Canada at nil consideration. Following completion of the share transfer, HATSOFF will become a 100% wholly-owned subsidiary of HAL.
HAL disclosed the development to the stock exchanges on October 2, 2026. The agreement involves the transfer of 3,84,04,205 equity shares, having a face value of ₹10 each, at nil consideration.
HAL to Take Full Ownership of HATSOFF
HATSOFF Helicopter Training Private Limited is currently a 50:50 joint venture between HAL and CAE Canada.
Under the agreement, HAL will acquire CAE Canada’s entire remaining stake in the company. Once the transfer of shares is completed, HAL will hold the entire equity share capital of HATSOFF.
The acquisition will give HAL full ownership and management control of the helicopter training company.

HATSOFF Provides Military and Civil Helicopter Training
HATSOFF operates in the helicopter training segment and provides military and civil helicopter pilot training using advanced simulators.
The company has customers across India’s defence and security ecosystem, as well as private operators.
Its customer base includes:
- Indian Air Force
- Indian Army
- Indian Navy
- Indian Coast Guard
- Border Security Force (BSF)
- Private operators
The company’s simulator-based training capabilities support helicopter pilot training requirements across both military and civil aviation sectors.
Ministry of Defence Gives Administrative Approval
The acquisition has received administrative approval from the Ministry of Defence – Department of Defence Production (MoD-DDP).
The approval has been given with the concurrence of the Department of Investment and Public Asset Management (DIPAM), Ministry of Finance.
HAL expects the acquisition process to be completed within approximately 60 days from the date of signing of the Share Transfer Agreement, subject to completion of the required share transfer process.
HATSOFF Financial Performance
HATSOFF recorded a turnover of ₹80.95 crore in FY 2025-26, compared with ₹69.55 crore in FY 2024-25 and ₹66.49 crore in FY 2023-24.
The company’s capital details include:
- Authorised capital: ₹76.84 crore
- Paid-up capital: ₹76.80 crore
- FY 2025-26 turnover: ₹80.95 crore
- FY 2024-25 turnover: ₹69.55 crore
- FY 2023-24 turnover: ₹66.49 crore
The financial figures indicate an increase in HATSOFF’s turnover over the last two financial years.
HAL to Gain Complete Management Control
HAL currently owns 50% of HATSOFF, while the remaining 50% is held by CAE Canada. The proposed transaction will consolidate ownership of the helicopter training business under HAL.
Importantly, the agreement has been signed, but HATSOFF will become a wholly-owned subsidiary only after the share transfer is completed.
HAL has indicated that the process is tentatively expected to be completed within around 60 days from the signing of the Share Transfer Agreement.
