New Delhi: Bharat Petroleum Corporation Limited (BPCL) has approved a fundraising plan of up to ₹5,000 crore through the issuance of secured or unsecured redeemable Non-Convertible Debentures (NCDs). The decision was taken by the company’s Board of Directors at its meeting held on August 18, 2026.
The proposed fundraising will be carried out in one or more series or tranches, with the company permitted to issue the NCDs in a maximum of 10 tranches within a period of one year.

NCD Issue to Be Decided in Multiple Tranches
BPCL has stated that the specific terms of each series or tranche, including allotment details and other issue-related parameters, will be decided separately. The relevant details will be communicated to the stock exchanges in the prescribed format at the time of each individual issue.
The flexible structure will allow BPCL to access the debt market in stages rather than raising the entire approved amount at once.

The decision was taken during BPCL’s Board meeting held on August 18, 2026. The meeting commenced at 11:00 AM and concluded at 3:45 PM.
The fundraising approval follows the company’s earlier stock exchange intimation dated August 13, 2026.
BPCL made the disclosure under Regulations 30 and 51 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
