New Delhi: Power Grid Corporation of India Limited (POWERGRID) shareholders have approved a significant increase in the company’s overall borrowing limit from ₹1,80,000 crore to ₹2,20,000 crore, providing greater financial flexibility to support ongoing and upcoming transmission infrastructure projects.
The special resolution was approved at POWERGRID’s 37th Annual General Meeting (AGM) held on August 20, 2026, through Video Conferencing (VC) and Other Audio-Visual Means (OAVM). A total of 181 members participated in the meeting.
Shareholders Approve All 10 Resolutions
According to the voting results released on August 21, 2026, all 10 resolutions placed before shareholders were approved with the requisite majority.
The promoter group, holding 4,774,884,280 shares, voted in favour of all resolutions.
Key voting outcomes included:
- Borrowing limit enhancement: 99.99% votes in favour
- Debt issuance limits for FY27 and FY28: 99.99% votes in favour
- Final dividend declaration: 99.80% votes in favour
- Statutory auditor remuneration: 96.14% votes in favour
- C&MD appointment: 91.92% votes in favour
- Adoption of financial statements: 93.93% votes in favour
- Dr. Yatindra Dwivedi’s reappointment: 77.99% votes in favour
- Naveen Srivastava’s reappointment: 75.31% votes in favour
POWERGRID Raises Overall Borrowing Capacity
The most significant resolution approved at the AGM was the enhancement of POWERGRID’s overall borrowing limit.
The limit has been increased from ₹1,80,000 crore to ₹2,20,000 crore.
The higher borrowing capacity is expected to provide the company with additional financial flexibility for its transmission infrastructure expansion and other funding requirements.
Higher Debt Issuance Limits Approved for FY27 and FY28
Shareholders also approved higher limits for raising funds through the domestic market via private placement of debentures and bonds.
The approved limits include:
- FY27: Up to ₹35,000 crore, increased from ₹30,000 crore
- FY28: Up to ₹35,000 crore
The approvals will enable POWERGRID to access domestic debt markets within the enhanced limits.
Director Reappointments Approved
Shareholders approved the reappointment of Dr. Yatindra Dwivedi and Shri Naveen Srivastava as directors after their retirement by rotation.
However, these resolutions recorded comparatively higher dissent among public institutional investors, with 22.01% votes against Dr. Yatindra Dwivedi’s reappointment and 24.69% against Naveen Srivastava’s reappointment.
Burra Vamsi Rama Mohan Appointed as C&MD
Shareholders also approved the appointment of Burra Vamsi Rama Mohan as Chairman and Managing Director of POWERGRID, with the position not liable to retire by rotation.
The resolution received 91.92% overall support, although public institutional investors recorded 18.64% votes against the appointment.
The AGM was chaired by Burra Vamsi Rama Mohan.
Financial Statements and Dividend Approved
Shareholders adopted POWERGRID’s audited standalone and consolidated financial statements for the financial year ended March 31, 2026.
The Statutory Auditors’ report contained no qualifications or adverse observations.
Shareholders also confirmed the payment of the first and second interim dividends and approved the final dividend for FY26.
In addition, the Board was authorised to determine the remuneration of Statutory Auditors for FY27, while the remuneration of Cost Auditors for FY27 was ratified.
AGM Voting Conducted Through E-Voting
The AGM was conducted in compliance with the Companies Act, 2013 and SEBI Listing Regulations.
Remote e-voting was conducted from August 15 to August 19, 2026, while shareholders also had the option to vote electronically through the Insta Poll facility during the AGM.
The voting results are to be made available on the company’s website as well as through the BSE, NSE and NSDL platforms.
